Terms and conditions of sale

These General Terms of Sale (hereinafter referred to as “General Terms”) govern the purchase of products and services, conducted remotely and made available via the internet, through the website www.ol3bike.com (hereinafter referred to as the “Website”).

FOREWORD

All purchases of products and services made through the Website (hereinafter referred to as “Purchase Agreements”) by users accessing it (hereinafter referred to as “Customers”) are governed by these General Terms as well as other provisions and operational instructions contained on the Website. In the event of any conflict between the aforementioned provisions and operational instructions and the content of the General Terms, the latter shall prevail.

Any payment operation and/or condition granted to the Customer in deviation from the General Terms will be valid only if OL3 Bike S.R.L. has accepted such deviation in writing.

The provisions of these General Terms apply equally to all Customers, except for those provisions specifically applicable only to Consumer Customers. A “Consumer Customer” is defined as a natural person who purchases products or services offered by the Website for purposes unrelated to any entrepreneurial or professional activity they may conduct; for the purposes of these General Terms, a Customer is presumed not to be a “Consumer Customer” if they submit a purchase proposal for products or services while simultaneously providing their VAT number in the customer data area on the Website. Purchase Agreements entered into by Consumer Customers are also subject to Articles 50 to 63 of Legislative Decree No. 206/2005.

OL3 Bike S.R.L. may modify, at any time and without notice, the content of these General Terms. Any changes will take effect from the date of publication on the Website, as stated in the heading of the General Terms.

The Customer can purchase products listed in the electronic catalog of the site, detailed in the “BUY” section and within the respective sections by category and product model, as described in the related informational sheets contained on the Site, following the technical access procedures illustrated therein. The publication of products and services on the Site constitutes an invitation to the Customer to submit a contractual purchase proposal. The order sent by the Customer is considered a contractual proposal and implies full knowledge and complete acceptance of these General Terms.

The correct receipt of the Customer’s proposal is confirmed by OL3 Bike S.R.L. through an automatic response sent to the email address provided by the Customer. This response is automatically generated by the system and only confirms the correct receipt of the proposal. The confirmation message will include the ‘Order Number,’ which should be used in all subsequent communications with OL3 Bike S.R.L.

Each order can be viewed by the Customer on the Site, in their personal area defined as “orders,” after the order has been placed. Until the order is processed by OL3 Bike S.R.L. (communicated to the Customer through the update of information in their personal area).

Each Purchase Agreement concluded between OL3 Bike S.R.L. and the Customer is considered concluded with the acceptance of the order by OL3 Bike S.R.L. OL3 Bike S.R.L. has the discretion to accept or reject the Customer’s order, without the Customer being able to make claims or assert any rights, including compensation, in the event of non-acceptance of the order. OL3 Bike S.R.L.’s acceptance is deemed to be tacitly given if not otherwise communicated to the Customer within 48 hours from the order submission, by means of an email sent to the address provided by the Customer. By sending the order, in the various ways provided by the operational instructions “How OL3 Bike S.R.L. Works” on the Site, the Customer declares to have reviewed all the instructions provided during the purchase procedure and to fully accept the General Terms and payment conditions described below.

PRODUCT PRICES – DELIVERY CHARGES – PRODUCT AVAILABILITY

All prices for products are clearly indicated on the Site and include only VAT. They do not include any additional and different taxes, duties, or levies imposed by the applicable legislation, such as those related to importation. Therefore, the Customer must handle import customs clearance and pay any duties and taxes (other than VAT) that may be due in the country of import.

Prices and availability of products listed on the Site are subject to change at any time without prior notice. However, for orders currently being processed or accepted by OL3 Bike S.R.L., the sale conditions in effect at the time of the Customer’s order submission will apply.

The Site highlights products available for shipment. This availability is not updated in real time; additionally, due to the possible simultaneous access to the Site by many users, the actual availability of individual products may vary significantly within the same day compared to the indications on the Site. OL3 Bike S.R.L. makes no commitment nor guarantees immediate fulfillment of the delivery of purchased products listed as available on the Site and, therefore, will not be responsible for any delivery delays.

In the case of payment by Bank Transfer, OL3 Bike S.R.L. reserves the purchased products until the day after the order, during which time the customer must notify OL3 Bike S.R.L. of the payment via email.

If there are delays in the delivery times of the ordered product compared to those indicated on the Site before the order, OL3 Bike S.R.L. will promptly inform the Customer via an email sent to the address provided by the Customer. Until the moment of shipment by OL3 Bike S.R.L., the Customer has the option to cancel or modify the order by sending an email to info@ol3bike.com or contacting customer service at +39 320 8456493 during the indicated working hours.

The cost of each shipment, which may vary depending on the delivery method, payment method, and total order amount, is added to the total price of each purchase and is clearly indicated and communicated to the Customer through the Site before the completion of the Purchase Agreement.

The visual representation of the products on the Site, where available, corresponds to the photographic image of the products themselves or computer-generated imagery (rendering) and is intended solely to present them for sale, with no guarantee or commitment by OL3 Bike S.R.L. regarding the exact correspondence between the image displayed on the Site and the actual product, particularly concerning its real dimensions and/or color aspects.

RIGHT OF WITHDRAWAL

The right of withdrawal is regulated by law if the customer-consumer (i.e., a natural person who purchases the goods for purposes not related to their professional activity, or does not make the purchase indicating a VAT number in the order form) has the right to withdraw from the purchase contract for any reason.

To exercise this right, the customer must send OL3 Bike S.R.L. a communication within 10 working days from the date of delivery of the goods.

The right of withdrawal is subject to the following conditions:

  1. The purchased item must be intact and returned in its original packaging, complete in all its parts (including packaging and any documentation and accessories).
  2. To prevent damage to the original packaging, we recommend, whenever possible, placing it in a second box (avoid applying labels or adhesive tapes directly to the original packaging of the product).
  3. The shipment, until receipt is acknowledged in our warehouse, is under the full responsibility of the customer.
  4. The shipping costs for returning the goods are borne by the customer-consumer.

OL3 Bike S.R.L. is not liable in any way for damage or loss of goods returned with uninsured shipments. Packages sent with cash on delivery or with postage due will not be accepted under any circumstances.

GOODS RETURN

The product must be returned to OL3 Bike S.R.L. within 10 days, along with the authorization form received. Subject to any restoration costs for damages to the original packaging, OL3 Bike S.R.L. will refund the customer the full amount already paid for the product by reversing the charged amount to the Credit Card or via Bank Transfer. In the latter case, it is the customer’s responsibility to promptly provide the bank details (IBAN code) for the refund.

WHEN THE RIGHT OF WITHDRAWAL EXPIRES

The right of withdrawal is entirely forfeited if the essential condition of the integrity of the goods (packaging and/or its contents) is not met, in cases where OL3 Bike S.R.L. determines:

  1. Any use of the item, even partial;
  2. The absence of the outer packaging and/or original internal packaging;
  3. The absence of integral components of the product;
  4. Damage to the product due to reasons other than transportation.

In the cases mentioned above, OL3 Bike S.R.L. will return the purchased goods to the sender, charging the shipping costs to the sender.

PRODUCT WARRANTY

OL3 Bike S.R.L. guarantees that its goods are free from defects. If the product does not meet your satisfaction, please contact us as soon as possible—any complaints will be considered if received within 10 days from the receipt of the goods. COMMUNICATIONS AND COMPLAINTS

All communications or any complaints from the Customer to OL3 Bike S.R.L. regarding the Purchase Agreements must be addressed to the Customer Service responsible for managing the Website, by writing to info@ol3bike.com

COURT OF JURISDICTION

The Purchase Agreement between the Customer and OL3 Bike S.R.L. is considered concluded in Italy and governed by Italian Law. Any disputes will be exclusively under the jurisdiction of the Court of Venice.
